Terms of Service
Last updated: October 21, 2026
These Terms of Service apply to the design, development, accessibility, maintenance and related services Four Cents provides under the DeveloperOfWeb.com name (the "Services"). They form part of every proposal, quote and statement of work we issue (each a "Proposal"). If a Proposal says something different, the Proposal wins for that project.
1. Scope and changes
We deliver what the accepted Proposal describes, and nothing more. Requests outside that scope are change requests: we will price them in writing, and they start only after you approve. Estimates of time assume you provide content, feedback and access on the dates agreed.
2. Your responsibilities
- Provide accurate information, content, images, logins and decisions on time, and nominate one person who can approve work.
- Make sure you own or have licences for everything you give us, including text, images, fonts, logos, data and software, and that your content is lawful and accurate.
- Own your legal obligations, including the claims made on your website, your privacy notices, consent management, industry rules (for example HIPAA, PHIPA, financial or advertising rules) and accessibility obligations under the ADA, AODA or other laws.
- Keep your own backups of anything you supply, and keep account credentials secure after handover.
3. Fees, payment and late payment
Fees, currency and the payment schedule are set in the Proposal. Unless it says otherwise, a deposit is due before work starts and the balance on completion, before launch or handover. The deposit secures the schedule and is non-refundable once work has started. Invoices are due within 14 days. Overdue amounts carry interest at 1.5 percent per month (18 percent per year) or the highest rate the law allows if lower, and we may pause work until accounts are current. Taxes are extra where they apply. Third-party costs such as hosting, domains, themes, plugins, licences, app store fees and paid APIs are yours, billed to you by those providers or passed through at cost.
4. Approvals and acceptance
Each milestone is accepted when you approve it in writing, when you start using it in production, or 10 business days after we deliver it without a written list of defects, whichever comes first. Revisions included in the price are as stated in the Proposal.
5. Ownership and licences
When you have paid in full, you own the final designs, code and content we create specifically for you. Until then, we grant you a licence to review the work only. We keep ownership of our pre-existing and general-purpose tools, libraries, components and know-how, and grant you a perpetual, non-exclusive licence to use them as part of your project. Open-source and third-party components stay under their own licences. Unless you ask us not to in writing, we may show the finished public work in our portfolio and name you as a client.
6. Third-party platforms
Websites depend on services we do not control, such as hosting providers, domain registrars, content management systems, plugins, payment processors, email services, search engines, browsers and app stores. We are not responsible for their outages, security incidents, changes, policies, pricing, review decisions or discontinuation, or for problems caused by updates you or others install after handover.
7. Results are not guaranteed
We do the work with professional skill and care. We do not guarantee search rankings, traffic, leads, sales, conversion rates, page speed scores on every device and network, uninterrupted availability, approval by any platform, or any business outcome. Accessibility, privacy and security work is technical work to recognised standards such as WCAG 2.2 AA; it reduces risk but is not legal advice, legal certification or a guarantee that no claim will ever be made. If you need legal assurance, consult a lawyer.
8. Our warranty
For 30 days after launch or handover we will fix, at no charge, defects that make the work fail to match the accepted Proposal and that we caused. This warranty does not cover changes made by anyone else, third-party updates, misuse, new requirements or content you supply. Apart from this warranty and to the fullest extent the law allows, the Services are provided without other warranties, express or implied.
9. Limitation of liability
To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity; and (b) our total liability arising from or related to a project, in contract, tort (including negligence) or otherwise, is limited to the fees you paid us for that project in the six months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law, or to a party's fraud or wilful misconduct.
10. Indemnity
You will indemnify and defend us against third-party claims, losses and costs (including reasonable legal fees) arising from content, materials, data or instructions you provide, the claims made on your website or app, your products and services, or your breach of law or of these terms. We will indemnify you against third-party claims that original code we wrote for you infringes a copyright, provided you tell us promptly and let us control the defence.
11. Confidentiality and data
Each party will keep the other's non-public business information confidential and use it only for the project. Where we handle personal information on your behalf, we act on your instructions, protect it with reasonable safeguards and delete or return it at the end of the project. If you need a data processing agreement or, for US healthcare clients, a business associate agreement, ask before the project starts; we do not accept protected health information without one.
12. Pausing and ending a project
Either party may end a project with 14 days' written notice, or immediately if the other party seriously breaches these terms and does not fix it within 10 days of notice. You will pay for work done and committed costs up to the end date, and we will hand over the paid-for work in its current state. If a project is paused on your side for more than 60 days, we may close it and invoice work to date; restarting is subject to scheduling.
13. Events outside our control
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as outages of third-party services, cyberattacks, natural disasters, illness, war or government action. Payment obligations for work already done are not excused.
14. Non-solicitation
During a project and for 12 months after it ends, neither party will directly hire or engage the other's staff or contractors who worked on the project without written agreement.
15. Governing law and disputes
These terms and each Proposal are governed by the laws of Ontario and the federal laws of Canada that apply there. The parties will first try to settle any dispute by good-faith discussion for 30 days. Failing that, the courts of Toronto, Ontario have exclusive jurisdiction, except that either party may seek urgent relief in any court with jurisdiction.
16. General
These terms and the Proposal are the entire agreement for a project and replace earlier discussions. Changes must be in writing. If a provision is unenforceable, the rest remains in force. Neither party may assign a project without the other's consent, except to a successor business. Notices may be given by email to the addresses in the Proposal. Sections 5, 7, 9, 10, 11 and 15 survive the end of a project.
